PAUL Tech AG announces a reimbursement of expenses
for participating in the
Vote without a Meeting
relating to its
EUR 35,000,000 7.00 per cent. notes 2020/2025

issued by the Issuer

Reference is made to the invitation to vote dated 13 October 2025 (the "Invitation to vote") by PAUL Tech AG (the "Issuer") relating to its EUR 35,000,000 7.00 per cent. notes 2020/2025 (the "Notes"). Terms used but not defined in this announcement have the same meaning as in the Invitation to Vote.
As further described in the Invitation to Vote, the Issuer invites the holders of the Notes (the "Holders") to vote without a meeting (Abstimmung ohne Versammlung) on, and solicits their consent in respect of, the proposed amendments to the terms and conditions of the Notes (the "Voting").
To participate in the Voting, Holders have to submit by 30 October 2025, 23:59 (Frankfurt am Main time) (the "Registration Deadline"), inter alia, a Special Proof and a Blocking Confirmation to the Scrutineer, as further described in the Invitation to Vote.
The Issuer hereby announces that it will pay to each Holder who participates in the Voting and casts a valid vote during the Voting Period (approval, rejection, or abstention) a lump-sum reimbursement of expenses of EUR 20.00 (the “Reimbursement”) upon request.
The Reimbursement can be claimed using a form available on the Issuer's website. The Reimbursement will be paid per submitted Special Proof and Blocking Notice, i.e., once per blocked securities position of a Holder.
The Reimbursement will be paid after the end of the Voting Period, regardless of whether the necessary quorum was reached in the Voting and the Issuer's proposed amendment was accepted.
The issuer reserves the right to refrain from paying the Reimbursement in individual cases if, in the opinion of the Issuer or its legal advisors, this would be unlawful.
